Are Non-Competes Enforceable in Indiana? The Trainer Version

A non-compete agreement document on a desk beside a pen

Yes. Indiana enforces non-compete agreements, but only when they are reasonable in duration, geographic reach and the activities restricted, and Indiana courts hold independent contractors to the same test as employees. An overbroad clause is not trimmed into something fair; the court strikes the unreasonable part and enforces whatever stands on its own, which is why a trainer planning to move clients into private hourly space in Carmel should read the exact words before assuming they are either trapped or free.

What the rule says

Indiana has no general non-compete statute; the rule is common law, set out by the Indiana Supreme Court in its 2008 decision in Central Indiana Podiatry v. Krueger. A restrictive covenant is enforced only when it protects a legitimate business interest and is reasonable as to time, geography and scope of restricted activity. Courts apply the blue pencil doctrine, striking unreasonable terms rather than rewriting them, and the Court of Appeals has confirmed that independent contractors are judged under substantially the same standard. Recent statutory limits on non-competes in Indiana apply to physicians, not trainers. Checked September 2026. This is general information about Indiana law, not legal advice for your contract, and case law evolves; put the actual clause in front of an attorney.

Reading your clause through the three lenses

The test is cumulative, and a clause can fail on any one leg.

Lens More likely to hold More likely to fail
Time Months, or a year or two tied to how long client relationships last Multi-year terms with no connection to the business interest
Geography A radius around the location where you actually worked The whole metro, the state, or no limit at all
Scope Training the gym’s members or a defined service All fitness work of any kind, anywhere

A gym’s legitimate interest is usually its client relationships and goodwill, so a clause that keeps you from training its members for a limited period near its location is the kind the reasonableness test is built to allow. A clause that would keep you out of the fitness industry across Hamilton County for three years is the kind it is built to strike.

What the blue pencil means in practice

Indiana courts strike; they do not rewrite. If a clause lists restrictions as separable items, a court can cross out the unreasonable ones and enforce the rest; if a clause is written as one indivisible sentence, an unreasonable element can sink the whole thing. The practical effect for a trainer is that a badly drafted agreement often collapses entirely, while a carefully drafted one survives in reduced form. Which of those you signed is not something to guess at from a summary; it is the specific question an attorney answers in an hour.

Contractor status does not rescue you

Trainers paid on a 1099 sometimes assume restrictive covenants only bind employees. In Indiana they bind anyone who agreed to them, under the same reasonableness analysis. What contractor status changes is what you signed: a platform agreement, a facility’s terms, or a per-session contract can each contain a covenant, and the 1099 versus W-2 question is separate from the enforceability question.

Moves that keep you out of court

  • Get a copy of everything you signed, including onboarding paperwork, before you announce anything.
  • Pay for the one-hour review; the fee is smaller than one lost month of sessions.
  • Respect a reasonable clause’s clock and build around it, using the exit mechanics in taking clients when leaving a gym and the narrower rules on contacting former clients.
  • Do not announce a plan to breach; a public post about taking everyone with you is evidence.
  • Line up the landing spot quietly. A room booked by the hour, with no lease, is a plan you can hold in reserve; the first hour is free for fitness professionals, and 40 or more independent trainers already run their businesses out of the same building at Carmel City Center.

Reasonableness cuts both ways. The same doctrine that limits a gym’s reach also enforces a fair clause against a trainer who ignores it. Read yours, respect what stands, and move on the day it expires.

Related questions

Is a two-year non-compete reasonable in Indiana?

There is no fixed number. Courts weigh the term alongside geography and scope against the business interest being protected, so two years tied to a tight radius and a narrow activity reads differently from two years across the metro for all fitness work.

Can a gym enforce a non-compete against a 1099 contractor?

Yes, if the contractor signed it and it passes the reasonableness test. Indiana applies substantially the same standard to independent contractors as to employees.

What does blue penciling mean for a trainer?

It means a court strikes unreasonable parts of a clause and enforces what remains rather than rewriting the clause into something fair. Separable clauses survive in reduced form; indivisible ones can fall entirely.
