Do Sole Proprietor Trainers Need to Register With INBiz?

A sole proprietor who trains clients under their own legal name generally has nothing to file with the Indiana Secretary of State, so INBiz stays optional until one of three events: you form an LLC, you begin selling taxable products, or you hire someone. Indiana does not license personal trainers and Carmel issues no general business license, which means a coach booking hourly space at FlexWerk can take a first paying client with an EIN, insurance and a signed agreement, and no state registration at all.

The three events that put you on INBiz

INBiz is the state’s shared portal for the Secretary of State and the Department of Revenue, and a solo trainer meets it in exactly three situations.

  1. Forming an LLC. Articles of organization are filed through INBiz and cost under $100 online. The moment you form one, the entity, not you, is the registered business, and it picks up a biennial business entity report obligation.
  2. Selling taxable products. Sessions are services and carry no sales tax, but shirts, bands or supplements are retail sales, and registering for the retail merchant certificate happens on the Department of Revenue’s side of the same portal.
  3. Hiring an employee. Payroll brings state withholding registration and other obligations with it; ask the Department of Revenue what applies before the first paycheck.

What the rule says

Indiana’s entity statutes, the LLC act at IC 23-18 and the Uniform Business Organizations Code at IC 23-0.5, govern registered entities; an individual doing business under their own name is not one and has nothing to file with the Secretary of State. Indiana issues no personal trainer license, and the City of Carmel has no general business license, only activity-specific permits and home occupation standards, as Carmel’s own requirements explain. The filings that live outside INBiz

Skipping the Secretary of State does not mean skipping paperwork. A trade name is the common trap: if you market as Carmel Barbell Coaching rather than under your own name, an assumed business name certificate is commonly required, and for a sole proprietor it is filed with the county recorder rather than the state, so check with the Hamilton County Recorder before the bank asks. An EIN from the IRS is free, immediate, and keeps your Social Security number off client agreements and payment app profiles. If you plan to see clients at home instead of in rented space, Carmel’s home occupation standards apply, which is a City of Carmel question. And the obligation that actually bites a new sole proprietor is not a registration at all: quarterly estimated payments covering income tax and the 15.3 percent self employment tax, which is where a CPA earns their fee in year one.

A sensible order for a new solo trainer

  • Decide whether you are a sole proprietor or an LLC; the entity decision is a liability question, not a licensing one.
  • Get the EIN, then open a business bank account under your name or the trade name.
  • File the assumed name certificate if you use one.
  • Bind liability insurance and finalize your client agreement.
